When starting a business in Japan, one of the first decisions is:

Should I operate as a sole proprietor or establish a company?

There is no single answer. The best choice depends on the size and future plans of your business.


Sole Proprietor

Starting as a sole proprietor is generally simpler.

The business profit is reported as part of your individual income, and you pay income tax on your taxable income.

Bookkeeping and tax procedures are generally simpler than for a company.

This may be suitable for someone starting a small business alone.


Company

A company is legally separate from its owner.

The company calculates its own profit and pays corporate tax.

Running a company usually requires more accounting, tax filings, and administrative work. However, a company may be more suitable if you plan to:

  • expand your business,

  • employ people,

  • work with larger customers, or

  • bring in other owners or investors.


Is a Company Always Better for Tax?

No.

Some people think that establishing a company automatically reduces tax. This is not always true.

The result depends on many factors, including:

  • the amount of business profit,

  • salary paid to the owner,

  • business expenses, and

  • other taxes and costs.

Tax is important, but it should not be the only reason for choosing a business structure.
